Important Update Regarding Our Registration Status

May 12, 2026

We are extremely pleased to inform you of an important regulatory update regarding our firm.

Valley Wealth Management has recently transitioned from state registration to registration with the U.S. Securities and Exchange Commission (“SEC”) as an investment adviser. This required change reflects our continued growth and allows us to serve our clients under a federal regulatory framework.

Please note that this transition does not result in any changes to:

·         Your advisory services

·         Your fee structure

·         The way your account is managed

We will continue to provide the same level of service and commitment to your financial goals.

As part of this transition, we are required to provide you with our Form CRS (Client Relationship Summary), which offers important information about our services, fees, and conflicts of interest.  A copy can be found at the link here.  You can also find additional information about our firm, including our Form ADV Part 2A brochure, at www.adviserinfo.sec.gov or on our website at https://www.valleywealth.net/.

We appreciate your continued trust in our firm as we've grown over the years, and we couldn't have done it without you!

I hope May is good to you, and you have a great Memorial Day.

Larry Mroczkowski

President
